Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and TECHDIVE I.T. Services Limited (“TECHDIVE”, “we”, “us”, or “our”), a company registered in Nigeria with the Corporate Affairs Commission (RC Number 7158888), registered office at 77B, Haastrup Street, Surulere, Lagos State, Nigeria.
They govern your use of the StitchPad mobile application and the website at https://getstitchpad.com (together, the “Services”). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old to use the Services. By using StitchPad you confirm that you are 18 or older and that you are using it for your business or professional activity.
2. The Services
StitchPad is a workshop-management tool for tailors and fashion businesses. It lets you record customer measurements, manage customers and orders, store style photos, and use AI-assisted suggestions to communicate with and grow your customer base. We may add, change, or remove features over time.
3. Your account
- You are responsible for keeping your login credentials secure and for all activity under your account.
- You must provide accurate information and keep it up to date.
- Tell us promptly at support@getstitchpad.com if you suspect unauthorised use of your account.
4. Your content and your customers’ data
- You retain ownership of the data and content you put into StitchPad (“Your Content”), including your customers’ details, measurements, photos, and orders.
- You grant us a limited licence to host, store, process, and display Your Content solely to provide the Services to you.
- You are responsible for the personal data you enter about your customers, including having any consent or lawful basis required to store and process it. Our handling of that data is described in the Privacy Policy.
- You must not upload unlawful content, or content you do not have the right to upload.
5. AI-assisted features
StitchPad can generate AI-assisted suggestions (such as draft messages and growth ideas). These are automated drafts for your review — they are not professional, legal, financial, or business advice, and may be inaccurate or unsuitable. You are solely responsible for reviewing and deciding whether to use any suggestion.
6. Subscriptions, billing, and refunds
- StitchPad offers a free tier and paid subscription tiers (currently Tailor Pro and Tailor Atelier). Current features and prices are shown in the app and on the relevant app store at the time of purchase.
- Paid subscriptions are billed through the Apple App Store, Google Play, or [Paystack, if/when enabled], according to the plan you choose.
- Subscriptions renew automatically for the chosen period unless you cancel before the renewal date. Manage or cancel auto-renewal through your Apple or Google account settings.
- Refunds for subscriptions billed through the Apple App Store or Google Play are handled under those stores’ refund policies. For any payment billed directly through Paystack, subscription fees are non-refundable once the billing period has started, except where a refund is required by law. Contact support@getstitchpad.com with any billing issue and we will help.
- We may change prices or plan features. We will give reasonable notice of material changes, and changes will not affect a billing period you have already paid for.
7. Acceptable use
You agree not to:
- Use the Services for any unlawful purpose or in breach of the NDPA or other applicable law;
- Upload malware or attempt to disrupt, overload, or gain unauthorised access to the Services;
- Reverse-engineer, resell, or copy the Services except as permitted by law;
- Use the Services to send spam or to harass any person.
8. Intellectual property
The StitchPad app, website, branding, and all related software and content (excluding Your Content) are owned by TECHDIVE or its licensors and are protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your business while you comply with these Terms. The names “StitchPad” and “TECHDIVE” and our logos may not be used without our written permission.
9. Third-party services
The Services rely on and integrate with third parties (including Google/Firebase, Apple, the app stores, payment processors, and WhatsApp). Your use of those services is governed by their own terms, and we are not responsible for them.
10. Disclaimers
The Services are provided “as is” and “as available”, without warranties of any kind, to the fullest extent permitted by Nigerian law. We do not warrant that the Services will be uninterrupted, error-free, or that they will meet your particular needs. You are responsible for keeping your own records — StitchPad is a tool, not a substitute for your own record-keeping.
11. Limitation of liability
To the fullest extent permitted by Nigerian law:
- We are not liable for indirect, incidental, special, or consequential losses, or for loss of profits, revenue, data, or goodwill.
- Our total liability to you for any claim arising out of or relating to the Services is limited to the greater of (a) the amount you paid us for the Services in the 12 months before the claim, or (b) ₦20,000.
Nothing in these Terms excludes liability that cannot be excluded under Nigerian law.
12. Indemnity
You agree to indemnify TECHDIVE against claims, losses, and costs arising from your breach of these Terms, your misuse of the Services, or your handling of your customers’ personal data in breach of applicable law.
13. Suspension and termination
- You may stop using the Services and delete your account at any time (see the Privacy Policy and https://getstitchpad.com/delete-account).
- We may suspend or terminate your access if you breach these Terms or use the Services unlawfully. Where reasonable, we will give you notice first.
- Sections that by their nature should survive termination (such as intellectual property, disclaimers, liability, and governing law) will continue to apply.
14. Governing law and dispute resolution
These Terms are governed by the laws of the Federal Republic of Nigeria.
Any dispute arising out of or relating to these Terms or the Services that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
15. Changes to these Terms
We may update these Terms from time to time. We will update the “Last updated” date and, for material changes, notify you in-app or by email. Continued use of the Services after a change means you accept the updated Terms.
